1) The Seller warrants that he/she is authorized to sell the said image(s), and that the transfer of ownership will not infringe or violate any copyright or other right of any third party.
2) The Buyer shall have the exclusive right to use, reproduce, publish, display, transmit and distribute the image(s) in any manner and in any medium now known or hereafter developed for any lawful purpose.
3) This agreement shall be binding upon the parties and their successors and assigns.
4) This agreement constitutes the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and negotiations, both written and oral.
5) This agreement may not be amended or modified except in writing signed by both parties.
6) This agreement shall be governed by and construed in accordance with the laws of the State of FL, USA
